General Terms and Conditions for Services of AM Security & Process Monitoring B.V.

Chamber of Commerce (KvK) number: 87495627 · © 2024

Article 1. General

  1. These terms and conditions apply to every offer, quotation and agreement between AM Security & Process Monitoring B.V. and a Client, where AM Security & Process Monitoring B.V. has declared these terms and conditions applicable to that offer, quotation or agreement, insofar as the parties have not expressly deviated from these terms and conditions in writing.
  2. These terms and conditions also apply to agreements with AM Security & Process Monitoring B.V. for the performance of which AM Security & Process Monitoring B.V. needs to involve third parties.
  3. These general terms and conditions have also been written for the employees of AM Security & Process Monitoring B.V. and its management.
  4. The applicability of any purchasing or other terms and conditions of the Client is expressly rejected.
  5. If one or more provisions of these general terms and conditions are at any time wholly or partly null and void or are annulled, the remaining provisions of these general terms and conditions shall continue to apply in full. AM Security & Process Monitoring B.V. and the Client shall then consult with each other in order to agree on new provisions to replace the void or annulled provisions, taking into account the purpose and intent of the original provisions as far as possible.
  6. If there is any uncertainty regarding the interpretation of one or more provisions of these general terms and conditions, they shall be interpreted in accordance with the ‘spirit’ of these provisions.
  7. If a situation arises between the parties that is not provided for in these general terms and conditions, that situation shall be assessed in accordance with the spirit of these general terms and conditions.
  8. If AM Security & Process Monitoring B.V. does not always require strict compliance with these terms and conditions, this does not mean that their provisions do not apply, or that AM Security & Process Monitoring B.V. would to any extent lose the right to require strict compliance with the provisions of these terms and conditions in other cases.

Article 2. Quotations and offers

  1. All quotations and offers from AM Security & Process Monitoring B.V. are without obligation, unless a period for acceptance has been stated in the quotation. If no acceptance period has been stated, no rights whatsoever can be derived from the quotation or offer if the product to which the quotation or offer relates has in the meantime ceased to be available.
  2. AM Security & Process Monitoring B.V. cannot be held to its quotations or offers if the Client can reasonably understand that the quotations or offers, or any part of them, contain an obvious mistake or clerical error.
  3. The prices stated in a quotation or offer are exclusive of VAT and other government levies, and of any costs to be incurred in connection with the agreement, including travel and accommodation, shipping and administration costs, unless stated otherwise.
  4. If the acceptance deviates (whether or not on minor points) from the offer contained in the quotation or offer, AM Security & Process Monitoring B.V. is not bound by it. The agreement shall then not be concluded in accordance with this deviating acceptance, unless AM Security & Process Monitoring B.V. indicates otherwise.
  5. A composite quotation does not oblige AM Security & Process Monitoring B.V. to carry out part of the assignment for a corresponding part of the quoted price. Offers or quotations do not automatically apply to future orders.

Article 3. Contract term; performance periods, transfer of risk, performance and amendment of the agreement; price increases

  1. The agreement between AM Security & Process Monitoring B.V. and the Client is entered into for an indefinite period, unless the nature of the agreement dictates otherwise or the parties expressly agree otherwise in writing.
  2. If a period has been agreed or specified for carrying out certain work or delivering certain goods, this is never a strict deadline. If a period is exceeded, the Client must therefore give AM Security & Process Monitoring B.V. written notice of default. AM Security & Process Monitoring B.V. must then be given a reasonable period in which to still perform the agreement.
  3. AM Security & Process Monitoring B.V. shall perform the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship, all of this on the basis of the state of the art known at that time.
  4. AM Security & Process Monitoring B.V. is entitled to have certain work carried out by third parties. The applicability of Articles 7:404, 7:407(2) and 7:409 of the Dutch Civil Code (BW) is expressly excluded.
  5. If AM Security & Process Monitoring B.V., or third parties engaged by AM Security & Process Monitoring B.V., carry out work in the context of the assignment at the Client's premises or at a location designated by the Client, the Client shall provide, free of charge, the facilities reasonably desired by the employees concerned.
  6. Delivery takes place ex works of AM Security & Process Monitoring B.V. The Client is obliged to take delivery of the goods at the moment they are made available to it. If the Client refuses to take delivery, or fails to provide information or instructions necessary for the delivery, AM Security & Process Monitoring B.V. is entitled to store the goods at the Client's expense and risk. The risk of loss, damage or loss of value passes to the Client at the moment the goods are made available to the Client.
  7. AM Security & Process Monitoring B.V. is entitled to perform the agreement in several phases and to invoice each part thus performed separately.
  8. If the agreement is performed in phases, AM Security & Process Monitoring B.V. may suspend the performance of the parts belonging to a subsequent phase until the Client has approved the results of the preceding phase in writing.
  9. The Client shall ensure that all information which AM Security & Process Monitoring B.V. indicates is necessary, or which the Client should reasonably understand to be necessary, for the performance of the agreement is provided to AM Security & Process Monitoring B.V. in good time. If the information required for the performance of the agreement has not been provided to AM Security & Process Monitoring B.V. in good time, AM Security & Process Monitoring B.V. has the right to suspend the performance of the agreement and/or to charge the Client for the additional costs resulting from the delay at the rates customary at that time. The performance period shall not commence until the Client has made the information available to AM Security & Process Monitoring B.V. AM Security & Process Monitoring B.V. is not liable for damage of any kind arising because AM Security & Process Monitoring B.V. relied on incorrect and/or incomplete information provided by the Client.
  10. If, during the performance of the agreement, it becomes apparent that it needs to be amended or supplemented in order to be performed properly, the parties shall adjust the agreement in good time and by mutual consultation. If the nature, scope or content of the agreement is changed, whether or not at the request or direction of the Client, the competent authorities, etc., and the agreement is thereby changed in qualitative and/or quantitative terms, this may have consequences for what was originally agreed. As a result, the originally agreed amount may also be increased or reduced. AM Security & Process Monitoring B.V. shall provide a price quotation for this in advance as far as possible. An amendment to the agreement may also change the originally specified performance period. The Client accepts the possibility of amendment of the agreement, including changes to the price and the performance period.
  11. If the agreement is amended, including by way of a supplement, AM Security & Process Monitoring B.V. is entitled not to implement it until approval has been given by the authorised person within AM Security & Process Monitoring B.V. and the Client has agreed to the price and other conditions specified for its performance, including the time, to be determined at that stage, at which it will be carried out. Not implementing the amended agreement, or not implementing it immediately, does not constitute a breach of contract by AM Security & Process Monitoring B.V. and does not give the Client grounds to terminate or cancel the agreement.
  12. Without thereby being in default, AM Security & Process Monitoring B.V. may refuse a request to amend the agreement if this could have qualitative and/or quantitative consequences, for example for the work to be performed or the goods to be delivered in that context.
  13. If the Client fails to duly perform its obligations towards AM Security & Process Monitoring B.V., the Client is liable for all damage suffered by AM Security & Process Monitoring B.V. as a direct or indirect result.
  14. If AM Security & Process Monitoring B.V. agrees a fixed fee or fixed price with the Client, AM Security & Process Monitoring B.V. is nevertheless entitled at all times to increase this fee or price, without the Client being entitled in that case to dissolve the agreement for that reason, if the price increase results from a power or obligation under laws or regulations, or is caused by an increase in the price of raw materials, wages, etc., or is based on other grounds that could not reasonably have been foreseen when the agreement was entered into.
  15. If the price increase, other than as a result of an amendment to the agreement, amounts to more than 10% and takes place within three months of the conclusion of the agreement, only a Client entitled to invoke Title 5, Section 3 of Book 6 of the Dutch Civil Code (BW) may dissolve the agreement by means of a written declaration, unless:
    • AM Security & Process Monitoring B.V. is at that point still prepared to perform the agreement on the basis of what was originally agreed;
    • the price increase results from a power or an obligation incumbent on AM Security & Process Monitoring B.V. by law;
    • it has been stipulated that delivery will take place more than three months after the agreement was concluded;
    • or, in the case of the delivery of goods, it has been stipulated that delivery will take place more than three months after the purchase.

Article 4. Suspension, dissolution and interim termination of the agreement

  1. AM Security & Process Monitoring B.V. is entitled to suspend the performance of its obligations or to dissolve the agreement if the Client does not perform its obligations under the agreement, or does not perform them in full or on time; if, after the conclusion of the agreement, circumstances come to the knowledge of AM Security & Process Monitoring B.V. that give good reason to fear that the Client will not perform its obligations; if, when the agreement was concluded, the Client was requested to provide security for the performance of its obligations under the agreement and this security is not provided or is insufficient; or if, as a result of delay on the part of the Client, AM Security & Process Monitoring B.V. can no longer be required to perform the agreement on the originally agreed terms.
  2. Furthermore, AM Security & Process Monitoring B.V. is entitled to dissolve the agreement if circumstances arise which are of such a nature that performance of the agreement is impossible, or if other circumstances arise which are of such a nature that AM Security & Process Monitoring B.V. cannot reasonably be expected to maintain the agreement unchanged.
  3. If the agreement is dissolved, the claims of AM Security & Process Monitoring B.V. against the Client become immediately due and payable. If AM Security & Process Monitoring B.V. suspends the performance of its obligations, it retains its rights under the law and the agreement.
  4. If AM Security & Process Monitoring B.V. proceeds to suspension or dissolution, it is in no way obliged to compensate for any damage and costs arising in any way as a result.
  5. If the dissolution is attributable to the Client, AM Security & Process Monitoring B.V. is entitled to compensation for the damage, including the costs, arising directly and indirectly as a result.
  6. If the Client fails to perform its obligations arising from the agreement and this non-performance justifies dissolution, AM Security & Process Monitoring B.V. is entitled to dissolve the agreement forthwith and with immediate effect, without any obligation on its part to pay any compensation or indemnification, whereas the Client, by reason of its breach of contract, is obliged to pay compensation or indemnification.
  7. If the agreement is terminated prematurely by AM Security & Process Monitoring B.V., AM Security & Process Monitoring B.V. shall, in consultation with the Client, arrange for the transfer to third parties of work still to be performed, unless the termination is attributable to the Client. If the transfer of the work entails additional costs for AM Security & Process Monitoring B.V., these shall be charged to the Client. The Client is obliged to pay these costs within the period specified for this, unless AM Security & Process Monitoring B.V. indicates otherwise.
  8. In the event of liquidation, (an application for) a suspension of payments or bankruptcy, attachment against the Client (if and insofar as the attachment has not been lifted within three months), debt rescheduling or any other circumstance as a result of which the Client can no longer freely dispose of its assets, AM Security & Process Monitoring B.V. is free to terminate the agreement forthwith and with immediate effect or to cancel the order or agreement, without any obligation on its part to pay any compensation or indemnification. In that case, the claims of AM Security & Process Monitoring B.V. against the Client are immediately due and payable.
  9. If the Client cancels an order it has placed, in whole or in part, the work already carried out and the goods ordered or prepared for it, plus any associated supply, removal and delivery costs and the working time reserved for the performance of the agreement, shall be charged to the Client in full.

Article 5. Force majeure

  1. AM Security & Process Monitoring B.V. is not obliged to perform any obligation towards the Client if it is prevented from doing so as a result of a circumstance that is not due to its fault and for which it is not accountable under the law, a juristic act or generally accepted practice.
  2. In these general terms and conditions, force majeure means, in addition to what is understood by it in law and case law, all external causes, foreseen or unforeseen, over which AM Security & Process Monitoring B.V. has no influence but as a result of which AM Security & Process Monitoring B.V. is unable to perform its obligations. This includes strikes at the business of AM Security & Process Monitoring B.V. or of third parties. AM Security & Process Monitoring B.V. also has the right to invoke force majeure if the circumstance preventing (further) performance of the agreement occurs after AM Security & Process Monitoring B.V. should have performed its obligation.
  3. AM Security & Process Monitoring B.V. may suspend its obligations under the agreement for as long as the force majeure continues. If this period lasts longer than two months, either party is entitled to dissolve the agreement, without any obligation to compensate the other party for damage.
  4. To the extent that, at the time the force majeure occurs, AM Security & Process Monitoring B.V. has already partly performed its obligations under the agreement or will be able to perform them, and the part performed or to be performed has independent value, AM Security & Process Monitoring B.V. is entitled to invoice the part already performed or to be performed separately. The Client is obliged to pay this invoice as if it were a separate agreement.

Article 6. Payment and collection costs

  1. Payment must always be made within 14 days of the invoice date, in a manner to be specified by AM Security & Process Monitoring B.V. and in the currency in which the invoice was issued, unless AM Security & Process Monitoring B.V. indicates otherwise in writing. AM Security & Process Monitoring B.V. is entitled to invoice periodically.
  2. If the Client fails to pay an invoice on time, the Client is in default by operation of law. The Client then owes interest of 1% per month, unless the statutory interest rate is higher, in which case the statutory interest is owed. Interest on the amount due shall be calculated from the moment the Client is in default until the moment the full amount owed has been paid.
  3. AM Security & Process Monitoring B.V. has the right to apply payments made by the Client first to the costs, then to the interest that has fallen due and finally to the principal sum and the current interest. AM Security & Process Monitoring B.V. may, without thereby being in default, refuse an offer of payment if the Client specifies a different order for the allocation of the payment. AM Security & Process Monitoring B.V. may refuse full repayment of the principal sum if the interest that has fallen due, the current interest and the collection costs are not paid at the same time.
  4. The Client is never entitled to set off any amount it owes to AM Security & Process Monitoring B.V. Objections to the amount of an invoice do not suspend the payment obligation. A Client that is not entitled to invoke Section 6.5.3 (Articles 231 to 247 inclusive of Book 6 of the Dutch Civil Code) is likewise not entitled to suspend payment of an invoice for any other reason.
  5. If the Client is in default in the (timely) performance of its obligations, all reasonable costs incurred to obtain payment out of court shall be borne by the Client. A Client who is a natural person not acting in the course of a profession or business (private client) is only in default after they have been sent a reminder to pay within fourteen days of the date of the reminder and payment is not forthcoming. The reminder also states the consequences of non-payment. The extrajudicial costs are calculated on the basis of what is customary in Dutch debt collection practice. However, if AM Security & Process Monitoring B.V. has incurred higher collection costs that were reasonably necessary, and the Client is not a natural person acting outside the course of a profession or business (business client), the costs actually incurred shall be eligible for reimbursement. Any judicial and enforcement costs incurred shall also be recovered from the Client. The Client also owes interest on the collection costs due.

Article 7. Retention of title

  1. Everything delivered by AM Security & Process Monitoring B.V. under the agreement remains the property of AM Security & Process Monitoring B.V. until the Client has duly performed all obligations under the agreement(s) concluded with AM Security & Process Monitoring B.V.
  2. Goods delivered by AM Security & Process Monitoring B.V. that are subject to retention of title pursuant to paragraph 1 may not be resold and may never be used as a means of payment. The Client is not entitled to pledge or otherwise encumber the goods subject to retention of title.
  3. The Client must always do everything that may reasonably be expected of it to safeguard the ownership rights of AM Security & Process Monitoring B.V. If third parties attach the goods delivered subject to retention of title, or wish to establish or assert rights over them, the Client is obliged to inform AM Security & Process Monitoring B.V. of this immediately. Furthermore, the Client undertakes to insure the goods delivered subject to retention of title, and to keep them insured, against fire, explosion and water damage and against theft, and to make the policy of this insurance available for inspection by AM Security & Process Monitoring B.V. upon first request. In the event of any insurance payout, AM Security & Process Monitoring B.V. is entitled to these monies. To the extent necessary, the Client undertakes in advance towards AM Security & Process Monitoring B.V. to cooperate with everything that may (prove to) be necessary or desirable in that context.
  4. In the event that AM Security & Process Monitoring B.V. wishes to exercise the ownership rights referred to in this article, the Client gives AM Security & Process Monitoring B.V., and third parties to be designated by AM Security & Process Monitoring B.V., unconditional and irrevocable permission in advance to enter all places where the property of AM Security & Process Monitoring B.V. is located and to take it back.

Article 8. Warranties, inspection and complaints, limitation period

  1. The goods to be delivered by AM Security & Process Monitoring B.V. meet the customary requirements and standards that can reasonably be imposed on them at the time of delivery and for which they are intended in normal use in the Netherlands. The warranty referred to in this article applies to goods intended for use within the Netherlands. In the case of use outside the Netherlands, the Client must itself verify whether the goods are suitable for use there and meet the conditions imposed on them. In that case, AM Security & Process Monitoring B.V. may set other warranty and other conditions with regard to the goods to be delivered or the work to be carried out.
  2. The warranty referred to in paragraph 1 of this article applies for a period of 2 years after delivery, unless the nature of what has been delivered dictates otherwise or the parties have agreed otherwise. If the warranty provided by AM Security & Process Monitoring B.V. concerns goods produced by a third party, the warranty is limited to the warranty provided by the manufacturer of those goods, unless stated otherwise.
  3. Any form of warranty lapses if a defect has arisen as a result of, or results from, injudicious or improper use, use after the expiry date, or incorrect storage or maintenance by the Client and/or by third parties; or if, without the written permission of AM Security & Process Monitoring B.V., the Client or third parties have made or attempted to make changes to the goods, have attached other items to them that should not be attached to them, or have processed or modified them in a manner other than the prescribed manner. The Client is also not entitled to claim under the warranty if the defect has arisen from, or is the result of, circumstances beyond the control of AM Security & Process Monitoring B.V., including weather conditions (such as, but not limited to, extreme rainfall or temperatures), etc.
  4. The Client is obliged to inspect (or have inspected) what has been delivered immediately at the moment the goods are made available to it or the relevant work has been carried out. In doing so, the Client should examine whether the quality and/or quantity of what has been delivered corresponds to what has been agreed and meets the requirements agreed by the parties in this regard. Any visible defects must be reported to AM Security & Process Monitoring B.V. in writing within seven days of delivery. Any non-visible defects must be reported to AM Security & Process Monitoring B.V. in writing immediately, but in any event no later than fourteen days after their discovery. The report must contain as detailed a description of the defect as possible, so that AM Security & Process Monitoring B.V. is able to respond adequately. The Client must give AM Security & Process Monitoring B.V. the opportunity to investigate (or have investigated) a complaint.
  5. If the Client submits a complaint in time, this does not suspend its payment obligation. In that case, the Client also remains obliged to take delivery of and pay for the other goods ordered and for whatever it has instructed AM Security & Process Monitoring B.V. to do.
  6. If a defect is reported later, the Client is no longer entitled to repair, replacement or compensation.
  7. If it is established that an item is defective and a complaint about it has been submitted in time, AM Security & Process Monitoring B.V. shall, at its option, replace or repair the defective item, or pay the Client compensation in lieu of it, within a reasonable period after receiving the item back or, if return is not reasonably possible, after written notification of the defect by the Client. In the event of replacement, the Client is obliged to return the replaced item to AM Security & Process Monitoring B.V. and to transfer ownership of it to AM Security & Process Monitoring B.V., unless AM Security & Process Monitoring B.V. indicates otherwise.
  8. If it is established that a complaint is unfounded, the costs arising as a result, including the investigation costs incurred by AM Security & Process Monitoring B.V., shall be borne in full by the Client.
  9. After the warranty period has expired, all costs of repair or replacement, including administration, shipping and call-out charges, will be charged to the Client.
  10. By way of derogation from the statutory limitation periods, the limitation period for all claims and defences against AM Security & Process Monitoring B.V. and the third parties involved by AM Security & Process Monitoring B.V. in the performance of an agreement is one year.

Article 9. Liability

  1. If AM Security & Process Monitoring B.V. should be liable, this liability is limited to what is provided for in this article.
  2. AM Security & Process Monitoring B.V. is not liable for damage of any kind arising because AM Security & Process Monitoring B.V. relied on incorrect and/or incomplete information provided by or on behalf of the Client.
  3. If AM Security & Process Monitoring B.V. should be liable for any damage, the liability of AM Security & Process Monitoring B.V. is limited to a maximum of the invoice value of the order, or at any rate to the invoice value of that part of the order to which the liability relates.
  4. The liability of AM Security & Process Monitoring B.V. is in any event always limited to the amount paid out by its insurer, where applicable.
  5. AM Security & Process Monitoring B.V. is only liable for direct damage.
  6. Direct damage is understood to mean exclusively: the reasonable costs of establishing the cause and extent of the damage, insofar as this assessment relates to damage within the meaning of these terms and conditions; any reasonable costs incurred to make the defective performance of AM Security & Process Monitoring B.V. conform to the agreement, insofar as these can be attributed to AM Security & Process Monitoring B.V.; and reasonable costs incurred to prevent or limit damage, insofar as the Client demonstrates that these costs have led to a limitation of direct damage as referred to in these general terms and conditions. AM Security & Process Monitoring B.V. is never liable for indirect damage, including consequential damage, lost profits, lost savings and damage due to business interruption.
  7. If, on the instructions of the Client, an alarm system supplied by AM Security & Process Monitoring B.V. has been installed in the Client's home or business, the Client is itself responsible for ensuring that the batteries of the accessories supplied with it (wireless smoke detectors, wireless motion detectors (PIRs), wireless magnetic door contacts) have sufficient charge, and for checking them regularly. All wireless accessories are fitted with an indicator light that lights up red when the charge is low. The Client is free at all times to have this check carried out by AM Security & Process Monitoring B.V. for a fee.
  8. If, on the instructions of the Client, an alarm system and/or camera system supplied by AM Security & Process Monitoring B.V. has been installed in the Client's home or business, and damage occurs as a result of theft, break-in, vandalism or fire, any other criminal offence or in any other way, AM Security & Process Monitoring B.V. is never liable for this damage and/or any consequential damage, regardless of whether the alarm system was armed or disarmed at the time of the theft, burglary, vandalism, fire, offence or other event through which the damage occurred.
  9. If, on the instructions of the Client, an alarm system and/or camera system supplied by AM Security & Process Monitoring B.V. has been installed in the Client's home or business, AM Security & Process Monitoring B.V. offers the Client a maintenance contract based on one maintenance visit per year at a price agreed in advance. To guarantee the proper functioning of the alarm system and/or camera system, maintenance must be carried out on the alarm system and/or camera system, and on its accessories, at least once a year in accordance with the conditions set out in the maintenance contract. If the Client does not want a maintenance contract or wishes to deviate from this interval (less than once a year), the Client itself, and not AM Security & Process Monitoring B.V., is responsible for the proper functioning of the alarm system and/or camera system and its accessories.
  10. If, on the instructions of the Client, an alarm system and/or camera system supplied by AM Security & Process Monitoring B.V. is installed in the Client's home or business, the Client is itself responsible for checking with the municipality in which the home or business is located whether a permit is required for installing an alarm system and/or camera system. If a municipal permit is required for installing an alarm system and/or camera system, the Client shall itself submit the permit application to the municipality concerned. Any administrative fees are payable by the Client. AM Security & Process Monitoring B.V. can never be held liable for a failure to apply for a permit for installing an alarm system and/or camera system. For this reason, AM Security & Process Monitoring B.V. will never install a siren or flashing beacon on the outside of a home or business, as the permit application usually relates to these.
  11. Cameras supplied by AM Security & Process Monitoring B.V. are intended exclusively for securing the Client's property. For this reason, AM Security & Process Monitoring will never install cameras aimed at the public road or at the property of third parties.
  12. The limitations of liability set out in this article do not apply if the damage is due to intent or gross negligence on the part of AM Security & Process Monitoring B.V. or its managerial staff.
  13. AM Security & Process Monitoring B.V. accepts no liability whatsoever for the services performed by the PAC (private alarm centre)/alarm receiving centre or by third parties; reference is made to the general terms and conditions of the alarm receiving centre concerned, which fully exclude liability.

Article 10. Indemnity

  1. The Client indemnifies AM Security & Process Monitoring B.V. against any claims by third parties who suffer damage in connection with the performance of the agreement and the cause of which is attributable to parties other than AM Security & Process Monitoring B.V. If AM Security & Process Monitoring B.V. should be held liable by third parties on that account, the Client is obliged to assist AM Security & Process Monitoring B.V. both in and out of court and to do without delay everything that may be expected of it in that case. Should the Client fail to take adequate measures, AM Security & Process Monitoring B.V. is entitled to take such measures itself, without notice of default. All costs and damage incurred as a result by AM Security & Process Monitoring B.V. and third parties shall be borne in full by and at the risk of the Client.

Article 11. Intellectual property

  1. AM Security & Process Monitoring B.V. reserves the rights and powers to which it is entitled under the Dutch Copyright Act (Auteurswet) and other intellectual property laws and regulations. AM Security & Process Monitoring B.V. has the right to also use the knowledge it has gained through the performance of an agreement for other purposes, insofar as no strictly confidential information of the Client is disclosed to third parties in doing so.

Article 12. Applicable law and disputes

  1. All legal relationships to which AM Security & Process Monitoring B.V. is a party are governed exclusively by Dutch law, even if an obligation is performed wholly or partly abroad or if the party involved in the legal relationship is domiciled there. The applicability of the Vienna Sales Convention (CISG) is excluded.
  2. The court in the place where AM Security & Process Monitoring B.V. is established has exclusive jurisdiction to hear disputes, unless mandatory law provides otherwise. Nevertheless, AM Security & Process Monitoring B.V. has the right to submit the dispute to the court that has jurisdiction by law.
  3. The parties shall only apply to the courts after they have made every effort to settle a dispute by mutual consultation.

Article 13. Filing and amendment of the terms and conditions

  1. These terms and conditions have been filed with the Chamber of Commerce (KvK).
  2. The version that applies is always the most recently filed version or, as the case may be, the version that applied at the time the legal relationship with AM Security & Process Monitoring B.V. was established.
  3. The Dutch text of the general terms and conditions is always decisive for their interpretation.

This is an English translation provided for convenience. In case of any discrepancy, the Dutch version prevails.
